Submission Agreement with Rick Jay Glen Media *

NON-DISCLOSURE AGREEMENT & LIABILITY WAIVER This Non-Disclosure Agreement ("Agreement") is entered into by and between Rick Jay Glen Media ("RJG Media") and the submitting party ("Disclosing Party") in connection with the submission of confidential materials, projects, scripts, ideas, treatments, or any other intellectual property ("Submitted Materials") to RJG Media through RickJayGlen.com. 1. Confidentiality RJG Media agrees to hold all Submitted Materials in strict confidence and to use them solely for the purpose of evaluating potential collaboration. RJG Media shall not disclose, share, or distribute the Submitted Materials to any third party without the express written consent of the Disclosing Party. 2. Exclusions from Confidentiality Confidentiality obligations shall not apply to information that: (a) Is or becomes publicly available through no breach of this Agreement by RJG Media; (b) Is lawfully obtained from a third party without any obligation of confidentiality; (c) Is independently developed by RJG Media without reliance on the Submitted Materials. 3. No Obligation to Pursue Collaboration Submission of materials does not obligate RJG Media to enter into any partnership, production agreement, or other business relationship with the Disclosing Party. 4. Waiver of Liability for Similar Materials The Disclosing Party acknowledges that RJG Media may be developing or considering projects that are similar or comparable to the Submitted Materials. The Disclosing Party hereby waives any legal or financial claims or litigation against RJG Media arising from any similarities between the Submitted Materials and any existing or future projects either developed by RJG Media or submitted for consideration by other parties that may result in a production collaboration. A full waiving of any future legal claims or lawsuits for financial damages claimed by the Disclosing Party is defined in this clause. Any legal pursuit following this agreement will be considered null and void and dismissed by article 4 of this Agreement. 5. No Transfer of Rights Submission of materials does not grant RJG Media any ownership rights or license to the Submitted Materials unless a separate written agreement is executed between the parties. 6. Governing Law This Agreement shall be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict of law principles. 7. Entire Agreement This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral, concerning its subject matter. By submitting materials to RJG Media and checking the box below, the Disclosing Party acknowledges and agrees to the terms of this Agreement.
